B&M are a leading UK retail PLC with a strong high-street presence, operating at scale in a fast-paced, highly regulated environment. We are seeking an Assistant Company Secretary to support the delivery of high-quality company secretarial and corporate governance services to the Group.
 
 Reporting to the Deputy Company Secretary, you will play a key role in supporting the Board, Committees, and wider business, ensuring compliance with statutory and regulatory obligations while promoting best-practice governance and ensuring the smooth flow of information across the Group.
 
 In this role you will be responsible for:
 
  • Manage the Group Board and Committee calendars and oversee the end-to-end planning, administration, and logistics of meetings, including agendas, papers, minutes, and action tracking.
  • Effectively use and maintain the governance platform to ensure secure distribution of confidential board materials and implement tools to improve management reports and automate administrative tasks
  • Support effective Board and Committee governance by ensuring compliance with relevant legislation, governance codes, regulation, listing and disclosure requirements, and internal policies, and by providing governance advice to Boards and senior management
  • the onboarding and induction of new directors at Group and subsidiary level, including the design and delivery of tailored induction programmes for executive and non-executive directors
  • supporting Board engagement, visits, events, training sessions, and other non-executive director activities
  • Assist with shareholder engagement activities, including preparation and delivery of the Annual Report and Accounts and Annual General meeting
  • maintain compliant governance policies and procedures across the Group including relevant Terms of Reference, constitutional documents and insider lists
  • Preparation and publication of regulatory news service announcements
  • Assist with the administration of employee and director share awards
  • Ensure timely filing of updates to National Storage Mechanism, Companies House and other regulatory organisations and maintain up to date information on the corporate website
  • Manage and develop the Board support team, ensuring effective performance, collaboration, and ongoing professional development

About You:

  • A solicitor with relevant corporate law experience or part-qualified or qualified (or studying towards) ICSA / CGI or equivalent 
  • You have proven and substantial experience in board support, governance, or company secretarial roles, with experience working with boards of directors or similar governing bodies
  • You have a strong understanding of corporate governance principles, best practice, and regulatory requirements within a large or complex organisation
  • You are an excellent communicator with strong written and verbal skills, able to build effective relationships with senior stakeholders
  • You are highly organised with strong time management skills, able to prioritise competing demands and consistently meet deadlines
  • You demonstrate sound judgement, discretion, and the ability to handle confidential and sensitive information appropriately.
  • You are comfortable working both independently and collaboratively, with a clear understanding of when matters should be escalated
  • You are proactive, resilient, and able to anticipate needs while working effectively under pressure in a fast-paced, dynamic environment
